Wholesale Terms and Conditions
TERMS AND CONDITIONS
Below are the Terms and conditions for Mika Yoga Wear Inc, DBA Mika Body Wear, which shall be referred to as "Mika" in this document, that shall apply to "Resellers" who purchase Mika Body Wear products at wholesale solely for the purposes of resale to the public. All sales to "resellers" are to be approved by Mika through the use of the wholesale application. Verification may include photographs of Reseller's store, website identification, Business License or any other applicable documentation. Reseller agrees that it is forbidden to sell Mika products on wholesale basis to other retailers. Mika reserves the right to terminate the account of any Reseller.
Online Sales
Mika reserves the right to terminate the Reseller's account if it is determined that Reseller is engaging in unauthorized online sales of Mika products.
Intellectual Property
Reseller acknowledges that the name "Mika Yoga Wear" & "Mika Yoga Wear" all text and graphics on Mika's website, and all photographs of Mika modeled clothing are the exclusive intellectual property of Mika. Use of Mika Intellectual Property is permitted only in relation to the sale of Mika products. Mika intellectual property shall not be used to promote other brands of apparel or other products unless approved by Mika. If requested by Mika, Reseller agrees to provide all uses of the Mika intellectual property for the use of selling of Mika products.
Orders/Payments
All orders made by Resellers are subject to Mika's approval. Reseller agrees to the minimum required, no exceptions, and must make payment for all orders in US dollars prior to shipment. Reseller is solely responsible for sales and all taxes associated with the reselling of Mika products, except for taxes on Mika's net income. Reseller agrees to not share their wholesale discount code and that their discount is only applicable for their business and NOT personal use.
Pricing Policy
Prices and minimums for Mika Products are quoted at the time of the order and are subject to change at any time without prior notice. Products are not guaranteed to be in stock. No pre-orders. Wholesale pricing does not apply to Last Chance items, Pre-Loved items, or jewelry.
Shipment
Orders are usually shipped within 1-3 business days and arrive within 10 business days from shipping date for domestic orders. These timeframes are NOT guaranteed. International orders may take 1-8 weeks to arrive due to customs inspections and shipment events outside of the control of Mika. Duties may be accrued and are the sole responsibility of the Reseller. Any refused packages will be subject to return to sender fees. Items are shipped via USPS or UPS at Reseller's expense. Reseller agrees that Mika will not be responsible any delivery loss or damage.
Inspection and Acceptance
All sales are final. No returns or exchanges are allowed. Reseller has 5 days to notify Mika if there are nonconformity or defect or other claim within 5 days after delivery of the Products, otherwise Reseller will waive any rights regarding reimbursement. If there are any issues with delivery, please contact Mika ASAP. Mika is ultimately not responsible for products lost or damaged during delivery, but will try to assist in a solution, however a solution is not guaranteed.
Termination of Terms
These terms and conditions are applicable to you after agreement and completion of the wholesale application for Mika. Any part of these terms and conditions may be terminated by Mika without prior notice and for any reason. The provisions relating to Copyrights, Trademark, Disclaimer, Limitation of Liability, Indemnification and Miscellaneous, shall survive any termination.
Reseller Relations
Reseller agrees that it shall not represent itself as having a relationship with Mika other than the wholesaler supplier relationship that is defined in these terms & conditions. Furthermore, the Reseller agrees not to intentionally or unintentionally misrepresent Mika, its brand, or its products.
Participation Disclaimer
Mika cannot review all communications and materials used in relation to wholesale accounts, their websites, physical locations in which products are sold, or created by users accessing the Mika site. Mika is not liable or responsible for any such material or other content in relation to user-generated content on the site. Mika reserves the right to delete or block any and all material or communications that are deemed unacceptable by Mika.
